Terms of Service

These Terms of Service ("Terms") are a legally binding agreement between you ("User," "you") and Meridio LLC ("Company," "we," "us," "our"), operating under the brand name Fox AI. By downloading, installing, accessing, or using the Fox AI application, website (foxstack.ai), mobile companion app, or any related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Description of Service

Fox AI is a desktop application that runs locally on your macOS computer. It uses AI-powered browser automation to navigate web platforms you designate, read task information, generate deliverables, and — only with your explicit approval — submit work on your behalf. The Service includes:

• A macOS desktop application (the "App")
• An iOS companion application (the "Mobile App")
• A web-based control interface accessible through the App
• Cloud services for authentication, billing, and usage tracking

3. Account and Authentication

You may use the Service in a limited free trial mode without an account. To access paid features, you must create an account through our supported authentication providers (Google Sign-In, Apple Sign-In, or email). You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use.

4. User Responsibilities and Conduct

You are solely and entirely responsible for:

• All URLs and platforms you add to Fox AI. You warrant that you have lawful authorization to access every website and platform you instruct Fox AI to visit. You must not direct Fox AI to access any website or system you are not authorized to use.
• All credentials you provide. When you log into platforms through Fox AI's isolated browser, you are providing your personal credentials to those platforms. Fox AI does not store these credentials, but the browser session remains active on your machine.
• All content generated and submitted. AI-generated content may contain errors, inaccuracies, hallucinations, or inadvertently reproduced material. You must review all output before approving submission. Every submission requires your explicit approval through the hard approval gate.
• Compliance with third-party terms of service. Using Fox AI to interact with a third-party platform does not exempt you from that platform's terms of service, acceptable use policies, or honor codes. Many platforms prohibit automated access or AI-assisted work. It is your sole responsibility to determine whether your use of Fox AI on any platform complies with that platform's policies.
• Academic integrity. If you use Fox AI in an educational context, you are solely responsible for compliance with your institution's academic integrity policies, honor codes, and assignment-specific rules regarding AI assistance. We make no representation that use of Fox AI is permitted by any educational institution.
• All consequences of submissions. Once you approve a submission, you bear full responsibility for the submitted content and any consequences thereof, including but not limited to academic penalties, professional consequences, contractual breaches, or legal liability.

5. Google Drive and Third-Party Account Access

Fox AI may use Google Docs, Sheets, and Slides to create deliverables. If you sign into a Google account within Fox AI's browser, the AI agent will have access to all data accessible through that account, including Google Drive files, documents, and associated services.

• We strongly recommend creating a separate, dedicated Google account for use with Fox AI.
• If you sign into your personal Google account, you accept the risk that Fox AI may read, create, modify, or inadvertently delete files in that account.
• The Company is not liable for any loss, modification, disclosure, or deletion of data in any third-party account you connect through Fox AI's browser, including but not limited to Google Drive, cloud storage, email, or any other service.
• This same risk applies to every third-party account you log into through Fox AI's browser. The AI agent can interact with anything visible in that browser session.

6. Browser Automation and Screenshots

Fox AI operates by automating a web browser on your computer. As part of this process:

• Screenshots are captured of web pages the agent navigates. These screenshots are sent to third-party AI model providers (such as OpenAI and Anthropic) for visual understanding and task execution.
• Screenshots may contain sensitive, personal, confidential, or proprietary information visible on the pages being automated, including but not limited to names, email addresses, grades, financial data, medical information, private messages, or proprietary business data.
• You must not direct Fox AI to interact with pages containing information you are not willing to share with AI model providers. This includes classified, HIPAA-protected, FERPA-protected, attorney-client privileged, trade secret, or otherwise legally restricted information.
• We do not control how third-party AI providers process, store, or use the data sent to them. You should review the privacy policies of OpenAI (openai.com/privacy) and Anthropic (anthropic.com/privacy) to understand their data handling practices.
• The Company is not liable for any exposure, breach, or misuse of data that results from screenshots or text content sent to AI model providers as part of normal Service operation.

7. Security and Malicious Content

• Fox AI restricts the agent's browser to domains you explicitly add plus Google productivity domains. However, websites may redirect to other domains, load external resources, or serve malicious content.
• You are responsible for the safety and legitimacy of every URL you add. If you add a malicious, compromised, or phishing URL, the Company is not liable for any resulting harm including but not limited to malware infection, credential theft, data loss, or unauthorized transactions.
• Fox AI runs locally on your computer with the same system permissions as any desktop application. The browser automation operates within an isolated browser profile, but it is not a sandboxed or hardened security boundary. A compromised website could potentially affect your system.
• You must not use Fox AI to interact with known malicious sites, perform security testing, or bypass access controls on any system.

8. Data Processing and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. Key points:

• The App runs locally; your platform credentials are never transmitted to our servers.
• We collect usage telemetry (task counts, token usage, device information) for billing and service improvement.
• Content from your browser sessions is sent to third-party AI providers for processing.
• Authentication data is processed through Supabase.
• Payment data is processed through Stripe; we do not store payment card information.

9. Intellectual Property and Open-Source Attribution

The Fox AI application is built upon OpenClaw, an open-source project licensed under the MIT License (Copyright (c) 2025 Peter Steinberger). The full MIT license text is available at github.com/openclaw/openclaw.

• Fox AI's custom branding, UI modifications, legal documents, and proprietary service infrastructure are owned by Meridio LLC.
• Content generated by Fox AI using AI models is subject to the terms of the underlying AI providers. You should not assume copyright ownership of AI-generated output without independent legal analysis.
• You retain ownership of your personal data, credentials, and any original content you provide to the Service.

10. Subscription and Billing

• Free trial: 3 tasks at no cost, no credit card required.
• Paid subscriptions are billed monthly through Stripe. Prices are listed at foxstack.ai and may change with 30 days' notice.
• Each plan includes a token allocation. When your allocation is exhausted, the Service will pause until your next billing cycle. Unused tokens do not roll over.
• You may cancel at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
• We reserve the right to modify pricing with 30 days' prior notice. Continued use after a price change constitutes acceptance.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.

• We do not warrant that AI-generated content will be accurate, complete, original, free of errors, or suitable for any purpose.
• We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
• We do not warrant that the Service will comply with any third-party platform's terms of service.
• We do not warrant that use of the Service will not result in academic, professional, legal, or other consequences.
• We do not warrant the security of data transmitted to third-party AI providers.
• We do not warrant that the browser automation will behave as expected on all websites or that it will not cause unintended actions.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MERIDIO LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of data, files, or documents (including Google Drive content)
• Academic penalties, expulsion, or disciplinary action
• Professional consequences, termination, or reputational harm
• Unauthorized access to accounts or systems
• Malware, viruses, or security breaches resulting from websites visited
• Incorrect, inaccurate, or plagiarized AI-generated content
• Exposure of personal, confidential, or proprietary information through screenshots or AI processing
• Violations of third-party terms of service, honor codes, or legal requirements
• Unintended submissions, modifications, or deletions performed by the automation
• Loss of profits, revenue, business opportunities, or goodwill
• Any damages arising from your reliance on the Service

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Meridio LLC and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party right, including intellectual property, privacy, or contractual rights
• Content generated, submitted, or actions taken through the Service at your direction or with your approval
• Any third-party claim related to platforms, websites, or accounts accessed through the Service
• Your violation of any applicable law, regulation, or institutional policy

14. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy. You must not use the Service to:

• Access systems or accounts you are not authorized to use
• Engage in any illegal activity or facilitate illegal acts
• Process classified, top-secret, or government-restricted information
• Process protected health information (PHI) in violation of HIPAA
• Process education records in violation of FERPA
• Circumvent security measures, access controls, or rate limits on any platform
• Reverse-engineer, decompile, or attempt to extract the source code of proprietary components
• Resell, sublicense, or provide the Service to third parties
• Generate content intended to deceive, defraud, or harm others
• Overwhelm, disrupt, or interfere with any third-party service

15. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.

16. Modifications

We may update these Terms at any time. Material changes will be communicated via the Service or email. Continued use after changes take effect constitutes acceptance. If you disagree with changes, you must stop using the Service.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Utah, United States, without regard to conflict of law principles. Any dispute arising from or related to these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. You agree to waive any right to a jury trial and to participate in class action lawsuits. Arbitration shall take place in Utah County, Utah. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

19. Entire Agreement

These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and Meridio LLC regarding the Service and supersede all prior agreements.
